Ujaagar Digital Sales Agent Policy
Version 27 Oct 2026
1. Purpose and Nature of Engagement
This policy sets the terms on which independent sales agents sell Ujaagar Digital's services and earn commission. Every agent must read and accept it before receiving portal access.
- Independent agent, not an employee. The agent works as a freelance, commission-only partner. There is no salary, fixed allowance, working hours, leave entitlement or employment benefit.
- Commission is the only payment. The agent earns money only through commission on verified client payments, as set out in Section 6.
- Own costs. Travel, phone, internet and other expenses are borne by the agent unless the CEO approves a specific cost in writing beforehand.
- Own tools and time. The agent decides when and how to work, but must follow this policy, the company's pricing and the code of conduct.
- Representation. The agent may introduce themselves as a "Sales Partner, Ujaagar Digital". The agent may not call themselves an employee, manager, director or owner of the company.
- Authority. Only the CEO can approve deals, prices, discounts, contracts and refunds. The agent cannot sign or commit anything on the company's behalf.
2. Eligibility, Application and Onboarding
Agents join only through the online application and the CEO's approval. There is no other way to get portal access.
Eligibility
- At least 18 years old, with a valid CNIC.
- A working mobile number, WhatsApp and email address.
- A bank, JazzCash or Easypaisa account in the agent's own name for commission payouts.
- No conflict of interest (see Section 8).
Process
- The applicant fills the "Apply as Sales Agent" form on the portal.
- The CEO reviews the application and may call the applicant for a short interview.
- If approved, the applicant receives a link by email or WhatsApp to set their own password. The login ID is the applicant's email.
- On first login, the agent must accept this policy in the portal before any other screen opens.
- The CEO may reject any application without giving a reason.
Account rules
- One account per person. Accounts cannot be shared, sold or used by anyone else.
- The agent is responsible for all activity done from their login.
- A lost or leaked password must be reported to the CEO immediately.
3. Services, Pricing and Client Promises
Agents may sell only the services listed in the portal, at the company's official prices. Anything outside this needs the CEO's written approval first.
- Services. Website design and development, Meta (Facebook and Instagram) ads, video editing, SEO, social media management, and any other service the CEO adds to the portal.
- Prices. The agent must quote from the official price list or a quote prepared by the CEO. The agent may not lower, raise or invent a price.
- Scope. The agent must explain clearly what is and is not included (pages, revisions, ad budget, timelines). Custom work must be scoped by the CEO before it is quoted.
- No guaranteed results. The agent may never promise guaranteed sales, leads, followers, rankings or a fixed return on ad spend. Past results may be shared only from the company's approved portfolio.
- Timelines. Delivery dates may be quoted only as given by the company for that service.
- Ad budget. For ads services, the client's ad spend is separate from the management fee and is paid directly to Meta or as the CEO instructs. Commission is never paid on ad spend.
4. Leads, Clients and Ownership
A client belongs to the agent who first registers them in the portal, as long as the agent keeps working the lead. Anything not recorded in the portal does not count.
- Register first. Every lead must be entered in the portal before or on the day of first contact. Leads kept on paper or in WhatsApp only are not protected.
- First registration wins. If the same phone number is already registered, the portal shows "already registered" and the CEO is informed. The agent who registered first keeps the lead.
- Lead protection period. A lead stays with the agent for 30 days from the last recorded activity (call, meeting, note or follow-up). After 30 days of no activity, the CEO may reassign it.
- Client ownership. Once a deal is approved, the client is owned by that agent for all future deals, unless the CEO reassigns the client.
- Reassignment. The CEO may reassign a lead or client if the agent is inactive, leaves, breaks this policy, or the client asks for a different contact. Commission already earned stays with the original agent; future commission follows the new owner from the reassignment date.
- Existing company clients. Clients who already work with Ujaagar Digital, or were brought by the CEO, cannot be claimed as new leads.
- Accurate data. Client name, business, phone and city must be real and correct. Fake or duplicate entries are a policy violation.
5. Deal Process and Client Payments
A sale counts only after the CEO approves the deal and verifies the client's payment. All client money goes to the company, never to the agent.
Deal process
- The agent submits the deal in the portal: client, service, deal type (one-time or monthly) and amount.
- The CEO approves or rejects it. Rejected deals can be corrected and resubmitted.
- Once approved, the deal amount and its commission rate are locked. Changes after approval only through the CEO.
- Work starts only after the CEO confirms, normally after the advance payment is received.
Client payments
- Clients pay only into the company's official bank, JazzCash or Easypaisa accounts shared by the CEO.
- The agent must never ask a client to pay into the agent's personal account.
- Cash may be collected only with the CEO's prior permission for that payment. The agent must give the client a company receipt and deposit the cash into the company account within 24 hours.
- For every payment, the agent records it in the portal with proof (receipt or screenshot) on the same day.
- The CEO verifies the payment against the company account. Only verified payments count for commission.
- For monthly clients, each payment is recorded against the month it covers. An advance for several months is split month by month.
- Missing or late client payments must be followed up by the agent. The portal alerts the agent and the CEO if a monthly payment is not received by the 10th of the month.
6. Commission Structure and Payout
Commission is a percentage of each verified client payment, paid to the agent within 3 working days of verification. The rate depends on the size of the deal, not the size of each instalment.
New sale commission (one-time deals, and the first month of a monthly deal)
| Deal size (PKR) | Commission rate |
|---|---|
| Up to 50,000 | 10% |
| 50,001 to 100,000 | 12% |
| 100,001 to 200,000 | 13.5% |
| 200,001 to 300,000 | 15% |
| Above 300,000 | 18% |
The rate applies to the whole payment. For a one-time deal, "deal size" is the total deal amount. For a monthly deal, it is the monthly fee.
Recurring commission (monthly deals, every month after the first)
| Monthly fee (PKR) | Commission rate |
|---|---|
| Up to 150,000 | 1.5% |
| Above 150,000 | 2% |
Examples
- One-time website deal of Rs 150,000, paid in two instalments of Rs 75,000. Rate 13.5%, so Rs 10,125 on each instalment, Rs 20,250 in total.
- Monthly ads deal at Rs 40,000 per month. First month: 10% = Rs 4,000. Every later month: 1.5% = Rs 600.
Rules
- Commission is earned only on payments the CEO has verified. No commission on unpaid, pending or rejected payments.
- The rate is locked when the deal is approved. Later changes to the rate table apply only to deals approved after the change.
- No commission on ad spend, taxes, third-party costs (domains, hosting, paid plugins) or refunded amounts.
- Payout: within 3 working days of the CEO verifying the client payment, to the agent's own bank, JazzCash or Easypaisa account. Each payout is recorded in the portal.
- The agent can see earned, paid and pending commission in the portal at any time and download a monthly statement.
- Any tax that the law requires the company to deduct will be deducted from the commission and shown on the statement.
- Commission errors must be reported within 10 days of the payout. The CEO will correct any confirmed error in the next payout.
7. Refunds, Cancellations and Minimum Monthly Target
If a client gets money back, the commission on that money is recovered. Every agent must also reach a minimum of Rs 50,000 in verified client payments each month to stay active.
Refunds and cancellations
- If a client receives a full or partial refund, the commission paid on the refunded amount is deducted from the agent's next payouts.
- If a deal is cancelled, commission already earned on verified payments stays with the agent, unless the cancellation was caused by the agent's misrepresentation or misconduct.
- If a client never pays the remaining amount, no commission is due on the unpaid part.
- Chargebacks or fake payments (for example, a fake transfer screenshot) are fully recovered and treated as a serious violation.
Minimum monthly target
- Target: Rs 50,000 in verified client payments per calendar month.
- The first full calendar month after approval is a grace month and does not count.
- Missing the target for 2 consecutive months: written warning in the portal.
- Missing the target for 3 consecutive months: the account may be deactivated.
- The CEO may set a different target for an individual agent in the portal, and may relax the target in special circumstances such as illness or a market slowdown.
- Recurring payments from the agent's monthly clients count toward the target.
8. Code of Conduct, Confidentiality and Non-Solicitation
Agents represent Ujaagar Digital in front of clients, so their behaviour reflects on the company. They must also protect company and client information during and after their time with the company.
Code of conduct
- Be honest, polite and professional with every client, in person, on calls and on WhatsApp.
- No pressure tactics, false urgency, misleading claims or speaking badly about competitors.
- No spam: no bulk unsolicited messages, fake reviews, or posting the company's name in groups without permission.
- Use only the logo, portfolio, rate cards and marketing material provided by the company, without editing them.
- Do not create pages, ads, websites or social accounts in the company's name.
- Do not accept gifts, cash or favours from clients for yourself in connection with a deal.
- Respond to client messages about their deals within one working day, and pass delivery or technical questions to the company.
Confidentiality
- Client details, price lists, internal quotes, portal data and other agents' information are confidential.
- They may not be shared, copied, exported or used for any purpose outside the agent's work for Ujaagar Digital.
- This duty continues after the agent leaves.
Non-solicitation and conflict of interest
- While working with the company and for 12 months after leaving, the agent may not sell the same or competing services directly, or through another agency, to any client they met through Ujaagar Digital.
- The agent may not divert a lead to another agency or freelancer, or take a side deal with a company client.
- If the agent also works with another agency or sells similar services, they must declare it to the CEO before joining.
9. Violations, Leaving, Disputes and Acceptance
Breaking this policy can lead to a warning, suspension or deactivation, and fraud leads to loss of unpaid commission. Either side can end the arrangement at any time.
Violations
| Violation | Action |
|---|---|
| Minor (late portal entry, slow client response, using unapproved material) | Written warning in the portal |
| Repeated minor, or unapproved discount or promise | Suspension of new deals for up to 30 days |
| Serious (client money in personal account, fake payment proof, fake leads, side deals, sharing confidential data, harassment) | Immediate deactivation, unpaid commission on affected deals forfeited, money recovered, legal action if needed |
Leaving or deactivation
- The agent may leave at any time by informing the CEO in writing with 7 days' notice. The CEO may deactivate an account at any time.
- On leaving in good standing, the agent keeps commission on future verified instalments of one-time deals they closed. Recurring commission on monthly clients stops from the deactivation date.
- On deactivation for a serious violation, no further commission is paid on the affected deals.
- The agent's clients and leads are reassigned by the CEO. Portal access ends on the deactivation date.
Disputes
- Any complaint about commission, ownership or a decision must be raised in writing to the CEO within 15 days.
- The CEO will review the portal records and reply within 7 working days. Portal records are the main evidence.
- If not settled, the matter falls under the courts of Karachi, Pakistan.
Changes to this policy
The CEO may update this policy. Agents are notified in the portal at least 7 days before a change takes effect, and must accept the new version to keep using the portal. Rate changes never affect deals already approved.
Acknowledgement
By accepting this policy in the portal, the agent confirms they have read and understood it and agree to work under it.
